## Terms of use

The agreement between your school and Scoolin: what we provide, what you pay, what each of us is responsible for, and how disputes are settled.

Last updated **15 Oct 2026**

## Section 1 About these terms

These terms are an agreement between the school that uses Scoolin (also called Scoolin ERP) and **HeySERP Marketing Services** (“we”, “us”), the business that runs Scoolin.

The person who signs up, or who accepts these terms for a school, confirms that they have the authority to bind the school. If they don’t, they must not sign up or use Scoolin.

The [data protection terms](https://scoolin.com/legal/data-protection) and the [refund and cancellation policy](https://scoolin.com/legal/refunds) form part of this agreement. The [privacy policy](https://scoolin.com/legal/privacy) explains how we handle personal data.

Scoolin is made for schools and other educational institutions, for their own work. It is not offered to individuals for personal use.

## Section 2 Words we use

- **School** or **you**: the school, institution or organisation that holds the Scoolin account, including all its branches on that account.

- **Users**: the people the school lets into its Scoolin account, such as its owner, principal, office staff and teachers.

- **School data**: everything the school or its users put into Scoolin, including records about students, parents, staff and visitors.

- **Service**: Scoolin as it is offered to the school at the time, through its website and apps.

- **Fees**: what the school pays for a paid plan, before taxes.

## Section 3 The service

Scoolin is software for running a school office: admissions, records, fees, attendance, timetables, exams and the other features listed on our website.

We keep improving Scoolin, so features may change, be added or be removed. We won’t remove a core part of a paid plan in the middle of a period you have paid for without telling the school owner first.

Features marked **“coming soon”**, **“soon”** or **“planned”** on our website are not part of the service. They are plans, not promises: we may change them, delay them or never build them. Buy Scoolin for what it does today.

Features marked as **beta** or **preview** are given as they are, may change without notice, and may be withdrawn.

## Section 4 Accounts and access

The school owner decides who gets an account and what each person can see. The school is responsible for everything done through its account, by its users or by anyone using their logins.

The school must:

- keep login codes, links, passwords and passkeys private, and not share one login between people;

- switch off the access of staff who leave, at once;

- give each user only the access their work needs; and

- tell us straight away if it suspects that someone has got into its account without permission.

Users must be adults. Parents and students don’t have their own accounts today; if that changes, they will get access through their school, on the school’s instructions.

## Section 5 Your school’s data

**The school owns its data.** It gives us permission to store, copy, process and show school data only as needed to provide, secure and support Scoolin for the school, and as the [data protection terms](https://scoolin.com/legal/data-protection) describe. We don’t sell school data, use it for advertising, or use it to train artificial intelligence models.

The school is the **Data Fiduciary** for the personal data in its account, under the Digital Personal Data Protection Act, 2023, and we are its **Data Processor**. That means the school is responsible for:

- having a lawful reason to collect and use each piece of personal data, and collecting only what it needs;

- giving notice to, and getting any consent needed from, students, parents, staff and visitors, including verifiable consent from a parent or guardian where the law requires it for a child;

- following the law on government identity numbers, such as the Aadhaar Act, 2016, before it records an Aadhaar number;

- keeping its data accurate, and answering requests from the people the data is about; and

- deciding what it shows on Scoolin’s public verification pages (for example the QR code on an ID card or certificate, which shows the holder’s name, class or role and, for an ID card, photo, to anyone who scans it).

**The school checks what Scoolin produces.** Fee amounts, late fines, concessions, receipts, marks, grades, ranks, results, report cards, attendance figures, certificates and transfer certificates are worked out from rules and data the school sets. Before the school issues, signs or relies on any of them, it must check them. Documents issued to students, parents or authorities are issued by the school, under its own name and responsibility.

The school can export its data from Scoolin at any time while its account is open. After the account ends, data is deleted as section 15 describes.

## Section 6 Fair use

The school and its users must not use Scoolin to:

- break any law, or help anyone else break one;

- collect or keep personal data the school has no right to hold, or use it for a purpose people weren’t told about;

- send messages people didn’t agree to receive, or messages that harass, threaten or mislead;

- upload anything unlawful, obscene, defamatory, or that harms a child, or that infringes someone else’s rights;

- upload viruses or harmful code, or try to get into accounts, data or systems that aren’t theirs;

- test, probe, scan or overload Scoolin, or get around its limits or security;

- copy, resell, rent or sub-license Scoolin, or build a competing product from it; or

- pull data out of Scoolin by automated means, other than through the exports and features we provide.

We may remove content that breaks this section, and section 15 applies.

## Section 7 Plans, prices and payment

**Plans.** Our plans, what each includes, and their prices are on our [pricing page](https://scoolin.com/pricing) and are shown again before you subscribe. The price you agree to at checkout is the price you pay for that billing period.

**Paying.** Paid plans are billed in advance, monthly or yearly, and renew on their own at the end of each period until cancelled. Payments for Scoolin are processed by our payment provider. Our current provider, **Lemon Squeezy**, sells Scoolin subscriptions as the **merchant of record**: it charges you, issues the invoice or receipt, and collects any applicable taxes, and its own terms of sale also apply to the purchase. If we change provider, we’ll tell school owners.

**Taxes.** Prices shown don’t include taxes unless the page says they do. GST and any other taxes due on the fees are added and paid by the school.

**Price changes.** We may change our prices. A new price applies from the next billing period after we have emailed the school owner at least **30 days** before. If the school doesn’t accept it, it can cancel before then.

**Failed payments.** If a payment fails, the school keeps full access for 3 days. After that the account becomes read-only, and if the payment still hasn’t gone through after 10 days, the plan is cancelled and the account moves to the free plan. Nothing is deleted because of this.

**The free plan.** The free plan is for schools within the student limit shown on our pricing page. It is given free and as it is. We may change or end the free plan, or its limits, after giving school owners at least 30 days’ notice by email.

**Refunds** follow the [refund and cancellation policy](https://scoolin.com/legal/refunds) . Apart from what that policy says, fees are not refundable.

## Section 8 Other services

Some parts of Scoolin rely on other services, such as Google sign-in, email delivery, the payment provider and book look-ups. Their use is also governed by their own terms. We choose them with care, but we are not responsible for how they work, for their availability, or for changes they make. If one of them stops, we may change or remove the feature that depends on it.

## Section 9 Availability, support and copies

We work to keep Scoolin available and to fix problems quickly, but we don’t promise that it will always be available, without errors, or free of interruptions. We may stop it for maintenance; when we plan to, we tell school owners in advance where we can.

We give support by email and through the contact page, on working days. We don’t promise a response or fix time unless we agree one in writing.

**Keep your own copies.** Scoolin is not a backup service. The school should export, and keep its own copies of, the records it can’t afford to lose, including fee records, marks and certificates, at regular intervals.

## Section 10 Our property

We, or our licensors, own Scoolin: its software, design, text, logos and the name “Scoolin”. The school gets a limited, non-exclusive, non-transferable right to use Scoolin for its own work while its account is open and these terms are followed. No other right passes to the school.

If the school or its users send us ideas or feedback, we may use them freely, without owing anything.

## Section 11 Confidentiality

Each of us will keep the other’s non-public information confidential, use it only for this agreement, and share it only with people who need it for this agreement and are bound to keep it confidential. This doesn’t cover information that is public, that the other already had, or that the law or a court requires to be shared (after telling the other, where allowed). School data is also protected by the [data protection terms](https://scoolin.com/legal/data-protection) .

## Section 12 What we don’t promise

Scoolin is provided **“as is”** and **“as available”**. To the fullest extent the law allows, we don’t give any promise, warranty or condition, written or implied, including that Scoolin will be fit for a particular purpose, meet every requirement of the school or its board, be uninterrupted or error-free, or that its results will be correct.

Scoolin is a tool. It doesn’t give legal, tax, accounting or education advice, and it doesn’t replace the school’s own checks. The school stays responsible for its decisions, its fees, its records, its results and the documents it issues.

## Section 13 Limit of our liability

**13.1 Total limit.** Our total liability to the school, for all claims together arising out of or connected with Scoolin or this agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the **total fees the school actually paid us for Scoolin in the 12 months before the event that gave rise to the first claim**.

**13.2 Free plan.** If the school paid no fees in those 12 months, Scoolin was given to it free, and our total liability is nil.

**13.3 Losses we are not liable for.** We are not liable for any:

- indirect, consequential, special or punitive loss or damage;

- loss of profit, revenue, fees, admissions, business, opportunity, goodwill or reputation;

- loss, corruption or alteration of data, except that we will make reasonable efforts to restore it from any copy we hold;

- loss caused by school data, by the school’s users, by the school not checking Scoolin’s results, by its not keeping its own copies, or by its breaking this agreement or the law;

- loss caused by other services (section 8) or by events outside our control (section 16); or

- fine, penalty or compensation that the school is ordered to pay for its own duties as a Data Fiduciary or under any other law.

**13.4 How the limits apply.** These limits apply even if we were told such loss was possible. They also protect our directors, employees, contractors and group companies, and the school will bring any claim only against us.

**13.5 Why.** Our prices are set on the basis of these limits. Both of us agree they are a fair sharing of risk between businesses.

**13.6 What isn’t limited.** Nothing in this agreement limits any liability that cannot be limited or excluded under Indian law, such as liability for fraud.

## Section 14 Your promise to cover us

The school will defend us and cover us, our directors, employees and contractors, against any claim, demand, proceeding, penalty, loss, cost or expense (including reasonable legal fees) brought by anyone else, or imposed by any authority, that arises from:

- school data, including the school not having a lawful reason, notice or consent for it;

- the acts or omissions of the school or its users, including fees, marks, results and documents the school issues;

- the school’s dealings with its students, parents, staff, visitors or any authority; or

- the school breaking this agreement or any law.

We will tell the school about such a claim promptly, let it take reasonable control of the defence, and give reasonable help at its cost. The school won’t settle a claim that admits fault on our part, or binds us, without our written agreement.

## Section 15 Suspension and ending

**Ending by the school.** The school owner can cancel a paid plan, or close the account, at any time from Scoolin’s settings. A cancelled plan runs to the end of the period already paid for, then moves to the free plan.

**Suspension or ending by us.** We may suspend access, in full or in part, or end this agreement:

- at once, if the school or its users break section 6, put Scoolin, other schools or anyone’s safety or data at risk, or if a law, court or authority requires it;

- after 15 days’ written notice, if the school breaks any other part of this agreement and doesn’t put it right within that time; or

- for any reason, after 60 days’ written notice to the school owner. If we end a paid plan this way, we refund the unused part of any period paid in advance.

**What happens to data.** When a school asks to close its account, its data is kept for a **30-day** grace period, so the school can change its mind or export it, and is then permanently deleted. The school should export what it needs before it closes the account. If we end the agreement, we give the school a reasonable chance to export its data first, unless the law or the reason for ending stops us. Some records, such as invoices, may be kept for longer where the law requires.

Sections 5, 10 to 14, 17 and 19, and anything else that by its nature should last, continue after this agreement ends.

## Section 16 Events outside our control

Neither of us is responsible for a delay or failure caused by events beyond reasonable control, such as natural disasters, epidemics, war, riots, strikes, government orders, power or internet failures, failures of hosting, payment or other providers, or cyber attacks despite reasonable safeguards. The affected side will tell the other and try to limit the effect. This doesn’t excuse paying fees already due.

## Section 17 Law and disputes

**Law.** This agreement is governed by the laws of India.

**Talk first.** If a dispute arises, either of us can write to the other setting it out. We will both try in good faith to settle it within 30 days of that notice.

**Arbitration.** If it isn’t settled, it will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by both of us together. If we can’t agree on an arbitrator within 30 days of one of us asking, the arbitrator will be appointed as that Act provides. The seat and venue of arbitration is **New Delhi, India**; hearings may be held online. The arbitration will be in English, and the award is final and binding on both of us.

**Courts.** Subject to arbitration, the courts at **New Delhi, India** have exclusive jurisdiction, including for urgent interim relief. Either of us may also ask a court for interim relief to protect confidential information, intellectual property or data.

## Section 18 Changes to these terms

We may update these terms. For a change that affects schools materially, we will email school owners and show a notice in Scoolin at least **30 days** before it takes effect, except where a change is needed sooner by law or for security. Using Scoolin after a change takes effect means the school accepts it. A school that doesn’t accept a change can cancel before it takes effect.

The date at the top of this page shows when these terms last changed.

## Section 19 General

- **Whole agreement.** These terms, with the data protection terms, the refund policy and any order form we both sign, are the whole agreement between us about Scoolin, and replace anything said or written before. Where they conflict on personal data, the data protection terms apply; otherwise these terms apply, unless a document we both sign says otherwise.

- **Transfer.** The school may not transfer this agreement without our written consent. We may transfer it to a group company, or as part of a merger or the sale of our business, after telling the school owner.

- **Severability.** If any part of this agreement is found invalid or unenforceable, it applies to the greatest extent the law allows, and the rest stays in force.

- **No waiver.** If either of us doesn’t enforce a right straight away, that doesn’t give up the right.

- **Notices.** We send notices to the school owner’s email in Scoolin. The school sends notices to **hey@scoolin.com**. An email notice counts as received one working day after it is sent.

- **Independence.** We are independent businesses. Nothing in this agreement makes us partners, agents or employees of each other.

- **Electronic acceptance.** This agreement is an electronic record under the Information Technology Act, 2000, and is accepted by clicking or by using Scoolin. No physical signature is needed.
